Referral Program Terms.

These Referral Program Terms (“Terms”) govern participation in the TaxSpace Accounting Referral Program (“Referral Program”). By participating in the Referral Program, you agree to these Terms.
The Referral Program is offered by TaxSpace Accounting, a sole proprietorship located at 133 Leprino Circle, Oakley, CA 94561 (“TaxSpace,” “we,” “us,” or “our”).

1. Program Eligibility.
The Referral Program is available to current TaxSpace clients who are in good standing with TaxSpace.
Participation is voluntary. No purchase or additional payment is required to make a referral.
TaxSpace reserves the right to determine eligibility for participation in the Referral Program.
2. Eligible Referrals.
An “Eligible Referral” is a new prospective client who:
  • has not previously been a TaxSpace client;
  • has not previously engaged TaxSpace regarding the same or substantially similar services;
  • is referred to TaxSpace by an eligible current client;
  • identifies the referring client when contacting TaxSpace, or is otherwise reasonably linked to the referring client in TaxSpace’s records;
  • engages TaxSpace for qualifying tax preparation and filing services;
  • completes the applicable service; and
  • pays all amounts due to TaxSpace for that service.
A referral does not become eligible merely because the referred person contacts TaxSpace, schedules a consultation, requests information, receives an estimate, or begins an engagement. TaxSpace will make the final determination as to whether a referral satisfies the requirements of an Eligible Referral.
3. Referral Reward.
For each Eligible Referral, the referring client may receive a $50 gift card.
The referral reward becomes earned only after the referred client has completed the applicable qualifying tax preparation and filing service and has paid the associated TaxSpace fees in full. No reward is payable for canceled engagements, unpaid or partially paid services, refunded services, chargebacks, or prospective clients who do not complete a qualifying engagement. Unless otherwise stated by TaxSpace, there is no limit on the number of Eligible Referrals a participating client may make.
4. Duplicate Referrals.
Only one referral reward may be issued for each new client. If the same prospective client is referred by more than one person, TaxSpace may determine, in its reasonable discretion and based on its records, which referring client is eligible for the reward. Referral rewards may not be divided among multiple referring parties unless TaxSpace expressly agrees otherwise.
5. Self-Referrals and Improper Activity.
Self-referrals are not eligible for a referral reward. Participants may not create fictitious referrals, submit referrals using false or misleading information, misrepresent their relationship with TaxSpace, or otherwise attempt to manipulate or abuse the Referral Program. TaxSpace may deny or revoke a reward if it reasonably determines that a referral resulted from fraud, abuse, misrepresentation, duplication, or other conduct inconsistent with these Terms.
6. Relationship With Referred Clients.
A referral does not guarantee that TaxSpace will accept the referred person or business as a client.
TaxSpace retains the right to evaluate each prospective client independently and may decline an engagement for any lawful reason, including availability, conflicts of interest, scope of services, professional obligations, or other business considerations. The referring client has no authority to make representations, promises, guarantees, or commitments on behalf of TaxSpace.
7. Confidentiality and Client Information.
Participants should not provide TaxSpace with sensitive personal, financial, or tax information concerning another person without that person’s knowledge or authorization. TaxSpace will handle information received in connection with referrals in accordance with its applicable privacy practices and professional obligations.
Participation in the Referral Program does not entitle the referring client to information regarding the referred person’s communications, tax matters, engagement status, fees, services, or other confidential information.
TaxSpace may provide only the limited information reasonably necessary to administer the referral reward.
8. Gift Cards.
Referral rewards are issued in the form selected or made available by TaxSpace at the time the reward is fulfilled.Gift cards are not redeemable for cash from TaxSpace, are not transferable for cash through TaxSpace, and cannot be exchanged for a different reward except at TaxSpace’s discretion. TaxSpace is not responsible for a gift card after it has been successfully delivered to the recipient, including loss, theft, unauthorized use, expiration, or restrictions imposed by the gift card issuer, except as otherwise required by law.
9. Taxes.
Participants are responsible for any federal, state, local, or other tax obligations that may arise from receiving referral rewards. TaxSpace may request information reasonably necessary to comply with applicable tax reporting or recordkeeping requirements.
10. No Employment or Agency Relationship.
Participation in the Referral Program does not create an employment, contractor, partnership, joint venture, agency, representative, or other similar relationship between the participant and TaxSpace.
Participants are not authorized to act on behalf of TaxSpace.
11. Program Changes or Termination.
TaxSpace may modify, suspend, or terminate the Referral Program or these Terms at any time, subject to applicable law. Changes will apply prospectively unless otherwise stated.
A referral that qualified for a reward under the Terms in effect when the eligibility requirements were fully satisfied will not ordinarily be affected by a later program change, except where necessary to comply with applicable law, regulation, professional standards, or to address fraud or abuse.The current version of these Terms will be posted on the TaxSpace website with the applicable “Last Updated” date.
12. Compliance With Applicable Law and Professional Standards.
The Referral Program is subject to all applicable federal, state, and local laws, regulations, licensing requirements, and professional standards. Nothing in these Terms requires TaxSpace to issue or accept a referral reward where doing so would violate applicable law, professional licensing requirements, ethical rules, or other binding professional obligations. TaxSpace may decline, modify, or withhold a referral reward where reasonably necessary to comply with such requirements.
13. Limitation of Liability.
To the fullest extent permitted by applicable law, TaxSpace will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of participation in or inability to participate in the Referral Program. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
14. Governing Law.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
Any dispute arising from or relating to the Referral Program will be subject to applicable state and federal law and the jurisdiction of courts having proper authority over the dispute.
